with any signs of rust..... the value greatly decreases......

at the very least, if it's just surface rust that entire quarter panel should be sanded down and repainted.....

As much as everyone hates it when I state this (and anyone who has ever tried to sell their MK1 for what they believe it's 'worth' can probably attest to this).... AW11's just aren't a high selling car..... it's not an ae86 nor have the 'street' value that one does. You can easily buy a good running & clean chasis for around $1,000 or $1500 for a really nice one.... In my opinion, if there's rust, it's nowhere near "great" condition per KBB. Keep in mind that KBB values are based off of actual car sales, not just random figures.

Also has a small crack in the dash above the clock. The engine starts right up and purrs, could probably use a full tune up to be up to par, a/c blows ice cold. car has an alpine cd player with ipod hook up and small amp/sub behind passenger seat and new speakers in the dash runs smooth down the road, no popping out of 5th and everything on the car works and feels very stable. The seller will not budge from $2200 tho, he said he actually thought it was priced a little low for the condition. u guys still think it is worth that much? will i ever get my money back if i were to sell it?
A tan/brown color dash maybe a little hard to find but you could pick one up for less $100. Heck, throw a dash cover over it in the meantime.

As long as the rust is not all the way through the metal - it's an easy fix.

Exhaust is no big deal either. Everything else sounds good from what you described. If he'll take $2200, pay it and you and he got a good deal. Good luck.
